Terms and Conditions for Web Design Services
1. Introduction
1.1 These terms and conditions ("Terms") govern the provision of web design services (the "Services") by River Avenue Digital (the "Agency") to the client (the "Client").
1.2 By engaging the Agency for the provision of Services, the Client agrees to be bound by these Terms.
2. Services
2.1 The Agency will provide the Client with professional web design and development services as outlined in the agreed-upon proposal or scope of work.
2.2 Any additional services or changes to the scope of work requested by the Client may result in additional fees and will be subject to a separate agreement.
3. Client Responsibilities
3.1 The Client agrees to provide all necessary information, materials, and approvals required for the timely and efficient completion of the Services.
3.2 The Client is responsible for the accuracy and legality of any content provided to the Agency for inclusion on the website.
4. Payments
4.1 The Client agrees to pay the Agency the agreed-upon fees for the Services as outlined in the proposal or invoice.
4.2 Payments are due according to the agreed-upon schedule. Failure to make timely payments may result in a delay in the delivery of Services or termination of the project.
4.3 All fees are exclusive of any applicable taxes, which will be added to the invoice and paid by the Client.
5. Intellectual Property
5.1 The Agency retains ownership of all intellectual property rights associated with any design, development, or other work created during the provision of Services, unless otherwise agreed in writing.
5.2 Upon full payment of all fees, the Agency grants the Client a non-exclusive license to use the completed website for its intended purpose.
6. Confidentiality
6.1 Both parties agree to keep confidential any information, including but not limited to trade secrets, business plans, and proprietary information, shared during the course of the project.
7. Termination
7.1 Either party may terminate the agreement with written notice if the other party breaches a material term of these Terms.
7.2 In the event of termination, the Client agrees to pay for all Services rendered up to the termination date.
8. Limitation of Liability
8.1 The Agency shall not be liable for any indirect, special, or consequential damages arising out of or related to the Services.
9. Governing Law
9.1 These Terms shall be governed by and construed in accordance with the laws of Pennsylvania and Florida.
10. Miscellaneous
10.1 These Terms constitute the entire agreement between the parties and supersede any previous agreements or understandings.
10.2 Amendments to these Terms must be made in writing and signed by both parties.
By engaging in the Services provided by River Avenue Digital, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
